What is Round Z?
Round Z is a private securities marketplace. Investors can invest in early-stage and pre-IPO startups from $1, and founders can raise capital from a community of retail and accredited investors. Think of it as a Robinhood-style consumer experience for the startup-investing asset class.
Who can invest?
Anyone in the US can invest in our Reg CF (Regulation Crowdfunding) offerings, with annual limits based on income and net worth. Reg D offerings — including our FOMO Fund — are restricted to accredited investors as defined under Rule 501 of Regulation D.
What's the minimum investment?
$1 for Reg CF offerings. Minimums vary for Reg D offerings depending on the round structure, typically $1,000 to $25,000.
What's the difference between Omakase, Okonomi, and FOMO?
Omakase is curated — our investment committee picks the deals on a regular cadence. Okonomi is DIY — you pick your own deals from the marketplace with full diligence packs. FOMO Fund is late-stage and secondary tenders into companies you may have missed earlier — restricted to accredited investors.
How does Round Z make money?
Round Z affiliates charge a platform fee on offerings — paid by issuers, not investors — and a small carried interest on managed funds (Omakase, FOMO). Fees are disclosed transparently in each offering's documents.
How long are my investments locked up?
Private securities are illiquid by nature. There is typically no public market for your investment, and you should expect to hold for years until a liquidity event (acquisition, IPO, secondary tender) — which is not guaranteed.
Can I lose all my money?
Yes. Investing in private startups is highly speculative. You should only invest what you can afford to lose entirely. We strongly recommend diversifying across at least 10–20 investments over time and consulting a licensed advisor.
How does Round Z vet companies?
Every listed company passes through a multi-stage diligence process — corporate, financial, legal, operational, and team background checks. We turn down the vast majority of inbound applications.
How do I raise on Round Z as a founder?
Submit the questionnaire on our Raise page. Strong applications advance to a 2–4 week diligence sprint, then go live to the platform. Reg CF and Reg D are both supported depending on your structure.
Is my information confidential?
Yes. Materials submitted in diligence are reviewed by the analyst team under NDA and are not shared outside of that team without your consent.
